These Terms of Use (“Terms”) set out the rules for using any AI-powered solution provided by Chateeze, (“we”, “us”, “our”) to you (“the Client”). By using the Bot(s) and related services, you agree to follow these Terms. If you do not agree, you must not use our services.
1. Purpose of These Terms
These Terms are here to:
Explain how you are allowed to use our Bots.
Outline what we will and won’t do.
Make sure we both understand our responsibilities.
2. Licence to Use
We grant you a non-exclusive, non-transferable, revocable licence to use the Bot during your subscription period. You cannot resell, lease, reverse-engineer, copy, or modify the Bot without our written permission.
3. What You Can Expect From Us
We will:
Deliver and maintain your Bot in line with the agreed scope of services.
Provide updates, bug fixes, and improvements.
Offer reasonable technical support during business hours.
Host the Bot on secure servers and monitor performance.
4. What We Expect From You
You agree to:
Provide accurate onboarding information and keep it updated.
Use the Bot for lawful business purposes only.
Keep your login credentials and access codes secure.
Ensure your use of the Bot complies with privacy, spam, and other applicable laws.
Not input sensitive personal data (e.g., credit card numbers, health records) unless we have confirmed the Bot is configured to securely handle it.
5. Restrictions on Use
You must not:
Use the Bot to engage in illegal, offensive, misleading, or harmful activity.
Attempt to bypass or disable security features.
Overload the system in a way that affects service to other clients.
6. Service Availability
We aim for high availability but cannot guarantee uninterrupted access. We are not
responsible for downtime caused by:
Internet or hosting outages.
Third-party service failures.
Scheduled maintenance (we will give notice where possible).
7. AI Limitations
The Bot uses AI to respond and may occasionally provide inaccurate or incomplete information. It is your responsibility to verify critical information before acting on it.
8. Data Ownership & Privacy
You own all data collected through your Bot.
We only use that data to deliver our services.
Our Privacy Policy forms part of these Terms and applies to all data handling.
9. Intellectual Property
The Bot’s source code, design, and related documentation remain our property. Your branding and business content remain yours.
10. Fees & Changes
Subscription fees are billed monthly (or annually if agreed) and include GST.
Setup fees are non-refundable.
We may change pricing with at least 30 days’ notice.
We may offer a free trial period (“Trial”) for new customers. The duration and terms of any Trial will be specified at the time of sign-up. During the Trial, you may use the Services without charge, subject to these Terms. At the end of the Trial, your subscription will automatically convert to a paid plan unless cancelled prior to expiry.
Following the Trial (if any), you will be charged a recurring monthly subscription fee. All payments are processed securely through Stripe. By subscribing, you authorise Stripe to charge your nominated payment method automatically each billing cycle until you cancel.
11. Termination
You can cancel at any time with 30 days’ written notice.
We may suspend or terminate service if you breach these Terms or fail to pay.
Upon termination, your access to the Bot will end and related data will be deleted within 30 days (unless required by law to retain it).
12. Liability Limitations
Our liability is limited to the amount you have paid us in the 3 months before the claim.
We are not liable for indirect, incidental, or consequential losses.
13. Dispute Resolution
If a dispute arises, both parties agree to first attempt resolution through good faith discussions. If unresolved, disputes will be handled under the laws of Australia.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland.
15. Changes to These Terms
We may update these Terms from time to time. The latest version will always be provided to you in writing or via our website.
By using our Bots, you confirm you understand and accept these Terms of Use.
